Welcome to FurniTalk, a review and reputation platform for furniture retailers, brands, and consumers.
These Terms of Use ("Terms") govern your access to and use of https://furnitalk.com, including its websites, features, content, accounts, review services, business tools, and related services (collectively, the "Services").
FurniTalk is operated by XY INNOVATION CORPORATION ("FurniTalk", "Company", "we", "our", or "us").
By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree to these Terms, you should not access or use the Services.
These Terms constitute a legally binding agreement between you and XY INNOVATION CORPORATION regarding your use of FurniTalk.
These Terms apply to all visitors, consumers, reviewers, registered users, furniture businesses, retailers, brands, representatives, and other persons who access or use the Services.

You may use FurniTalk only if you are legally permitted to enter into these Terms under the laws applicable to you.
FurniTalk is not intended for children below the minimum age permitted to use the Services under applicable law.
If you are below the applicable age of consent or digital-service eligibility in your jurisdiction, you may use the Services only where permitted by applicable law and with any required involvement or authorization from a parent or legal guardian.
We may restrict or terminate access where we reasonably believe that a user does not meet applicable eligibility requirements.
FurniTalk provides a platform through which consumers and businesses can share and access information, reviews, ratings, and other content concerning furniture retailers and brands.
FurniTalk generally does not sell furniture or act as the seller, manufacturer, retailer, agent, broker, or representative of a furniture business listed on the platform.
Unless expressly stated otherwise, FurniTalk is not a party to any transaction, purchase, delivery, warranty, return, refund, financing arrangement, or other agreement between a consumer and a furniture retailer or brand.
Information appearing on FurniTalk may originate from users, businesses, public sources, or third-party services. You should independently evaluate information before making a purchasing or business decision.

You are responsible for activity occurring through your account to the extent permitted by applicable law.
We may suspend or restrict an account when reasonably necessary to protect the Services, users, businesses, or the integrity of the platform, including in connection with suspected fraud, abuse, impersonation, security incidents, or violations of these Terms.
FurniTalk allows users to submit reviews, ratings, comments, photographs, videos, responses, reports, and other content ("User Content").
You are responsible for the User Content you submit.
By submitting User Content, you represent that:
Nothing in these Terms is intended to prevent or restrict a person from expressing an honest opinion or lawful review of a business, product, service, or experience.
You retain ownership of the User Content you submit, subject to the rights granted below and any rights held by third parties.
By submitting User Content to FurniTalk, you grant XY INNOVATION CORPORATION a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, display, distribute, format, adapt, translate, and otherwise use the User Content as reasonably necessary to operate, maintain, promote, improve, and provide the Services.
This license does not give FurniTalk ownership of your User Content.
We may use excerpts, screenshots, ratings, or other portions of publicly submitted User Content to promote FurniTalk or explain how the Services work, subject to applicable law and our Privacy Policy.
Where required by applicable law, you may have additional rights concerning your User Content.
Reviews, ratings, business responses, and other content that you intentionally publish publicly may be visible to other FurniTalk users, businesses, search engines, and members of the public.
Public content may also be copied, indexed, cached, or shared by third parties outside of FurniTalk's control.
Do not publish passwords, payment information, government identification numbers, private contact information, confidential business information, or other sensitive information that you do not want to make public.
FurniTalk is committed to maintaining a useful and trustworthy review environment.
You must not submit or arrange for the submission of reviews or ratings that are fabricated, deceptive, manipulated, or otherwise designed to create a misleading impression of a business.
Examples of prohibited review manipulation include:
FurniTalk may use automated tools, manual review, account signals, reports, and other reasonable methods to identify potentially fraudulent or abusive activity.
We may remove, restrict, label, investigate, or otherwise moderate content that violates these Terms or applicable law.
We aim to apply our review policies consistently to positive, neutral, and negative reviews. A business's disagreement with a review, by itself, does not necessarily mean that the review violates these Terms.
FurniTalk may moderate User Content before or after publication. Moderation may include automated systems, human review, user reports, business reports, or other methods.
We may remove or restrict content that we reasonably believe:
We do not guarantee that every review or piece of User Content is independently verified or factually accurate.
Businesses may be able to claim, manage, or create profiles on FurniTalk depending on the features available.
A person claiming to represent a business must have appropriate authority to do so.

Businesses may respond to reviews in accordance with applicable law and FurniTalk's policies, but responses must not disclose confidential customer information or contain unlawful or abusive material.

If you believe that content on FurniTalk violates these Terms, applicable law, intellectual property rights, privacy rights, or other applicable policies, you may report it to us.
Reports should provide enough information for us to understand the concern, including the relevant page, content, and reason for the report.
We may review reported content and take action where appropriate. Submitting a report does not guarantee that content will be removed.
Except for User Content and third-party materials, the Services and their content—including software, source code, designs, interfaces, logos, trademarks, graphics, text, photographs, databases, and other materials—are owned by or licensed to XY INNOVATION CORPORATION.
FurniTalk and related names, logos, and branding may constitute trademarks or service marks of XY INNOVATION CORPORATION or its licensors.
Except as expressly permitted by these Terms or applicable law, you may not copy, reproduce, distribute, modify, publicly display, create derivative works from, sell, license, or commercially exploit FurniTalk materials without prior written authorization.
FurniTalk may contain links to third-party websites, applications, services, products, or resources.
Third-party services are operated independently from FurniTalk. We do not control and are not responsible for their content, availability, security, privacy practices, terms, or activities.
Your use of a third-party service is governed by the terms and policies of that third party.
Reviews, ratings, business profiles, articles, recommendations, and other information available through FurniTalk are provided for general informational purposes.
FurniTalk does not provide legal, financial, architectural, construction, interior-design, safety, or other professional advice.
You are responsible for evaluating information and making your own purchasing and business decisions.
FurniTalk does not guarantee that information submitted by users, businesses, or third parties is accurate, complete, current, or reliable.
We may provide tools or processes intended to improve the quality and reliability of information, but no review or rating system can guarantee that every piece of content is accurate or authentic.
You should independently verify important information before relying on it for a purchase, business decision, or other significant decision.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FURNITALK DISCLAIMS WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND SECURITY.
WE DO NOT GUARANTEE THAT THE SERVICES WILL ALWAYS BE AVAILABLE, UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS.
NOTHING IN THESE TERMS EXCLUDES OR LIMITS ANY WARRANTY, RIGHT, OR REMEDY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, XY INNOVATION CORPORATION AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID TO FURNITALK FOR THE SERVICES DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR ONE HUNDRED U.S. DOLLARS (US $100).
These limitations do not apply to liability that cannot lawfully be excluded or limited under applicable law.
To the extent permitted by applicable law, you agree to indemnify and hold harmless XY INNOVATION CORPORATION and its affiliates, officers, directors, employees, contractors, licensors, and service providers from claims, liabilities, damages, losses, costs, and reasonable expenses arising from:
This section does not require you to indemnify FurniTalk for matters caused by FurniTalk's own unlawful conduct where such indemnification would be prohibited by applicable law.
You may stop using FurniTalk at any time.
We may suspend, restrict, or terminate your access to some or all of the Services where reasonably necessary, including if:

Sections that by their nature should survive termination—including intellectual property, User Content licenses, disclaimers, limitations of liability, indemnification, and dispute-related provisions—will survive termination to the extent permitted by law.
FurniTalk may modify, suspend, discontinue, or replace features of the Services from time to time.
We do not guarantee that any particular feature, business profile, review, search result, ranking, or functionality will remain available indefinitely.
We may update these Terms from time to time to reflect changes in our Services, business practices, technology, or legal requirements.
When we make changes, we will update the "Effective Date" displayed at the beginning of these Terms.
Where required by applicable law, we will provide additional notice or obtain your consent to material changes.
Your continued use of the Services after the updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law.
These Terms and your use of the Services will be governed by the laws applicable to the relationship between you and XY INNOVATION CORPORATION, subject to any mandatory consumer-protection or other laws that apply to you.
Where applicable law permits the parties to select governing law and venue, the governing law and dispute-resolution provisions applicable to your use of the Services may be specified in an applicable jurisdiction-specific supplement or additional terms.
Nothing in these Terms is intended to deprive consumers of mandatory rights or remedies available under the laws of their place of residence where such rights cannot legally be waived.
When you use FurniTalk or communicate with us electronically, you consent to receive electronic communications relating to your use of the Services.
These communications may include account notices, security alerts, transactional messages, policy updates, and other service-related communications.
Where permitted by law, electronic communications satisfy any legal requirement that such communications be provided in writing.
If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.
Our failure to enforce a provision of these Terms does not constitute a waiver of our right to enforce it later.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent, except where such restriction is prohibited by applicable law.
We may assign or transfer these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, or similar transaction.
These Terms, together with the Privacy Policy and any additional terms expressly incorporated by reference, constitute the agreement between you and FurniTalk concerning your use of the Services.
